citizen. Support educational programs and industry organizations that
serve California’s infrastructure needs.
To our employee owners:
Maximize shareholder value to benefit all employee owners. Maintain
ethical reporting and accounting practices and financial transparency to
our shareholders in accordance with ESOP regulations.
Our
Code of Conduct:
Obey the law.
 | Conduct business in accordance with all applicable local, state
and federal laws and regulations, including those governing health
and safety, employment conditions and public contracting. |
Observe Brutoco’s policies and procedures, as stated in the
Operations Manual, Jobsite Employment Postings, EEO, Safety and
Insurance Policies, Harassment Policy and the BEC Equipment Use Policy.
Be honest, fair, and accurate.
 | Report labor hours accurately for hourly employees. Maintain
work hours consistent with Brutoco policies and procedures for
salaried employees. |
 | Keep complete and accurate records. |
 | Record costs properly. |
Compete fairly.
 | Do not shop bids or disclose a subcontractor’s pricing to
another subcontractor or contractor. |
 | Do not engage in dealings with a subcontractor or other entity
for personal gain. |
Do not offer or accept kickbacks, bribes, or gifts of substantial
value.
 | Gifts or entertainment should be limited to a reasonable level,
so that it does not appear that we benefit personally. |
 |
Government employees are subject to a wide
range of regulations which should be consulted prior to offering
these employees gifts or hospitality. |
 |
The organizing committees will solicit gifts
from suppliers and subcontractors for Brutoco employee functions
including the BEC Picnic and Golf Tournament. |
Do what you say you will do.
 |
Keep your promises and commitments. If you
become unable to honor a commitment, explain why. |

Don’t promise what you can’t deliver. |
Create a positive work environment.
Do not reap a personal benefit at the expense of
Brutoco and its employee owners.
Maintain a drug-free and safe workplace.

Illegal drug use on company or client property
during work hours may be grounds for termination. Alcohol
consumption at job sites is also grounds for dismissal. |
 |
Alcohol consumption during work-related social
events, business entertainment, or superintendents’ meetings is not
acceptable when it creates a danger to employees or others, such as
when it results in impaired driving. |
Develop long-term relationships with
communities, clients, subcontractors and suppliers.
We expect our clients to reflect our ethics and take ownership of
their risks and responsibilities.
 | We expect that they will provide adequate and complete
information. |
 | We expect our clients to be ethical in payment, claims and
change order processing and not play games with extras, changes and
delays. |
Promote integrity and excellence in all that we do.
Communicate frequently to remove doubts about integrity caused by
lack of information or understanding.
Do not cover up bad news.
Use company assets responsibly.
 | Correct and cost-conscious use of company property, including
facilities, equipment and materials, is your responsibility. |
 | Limited personal use of e-mail and the Internet is permitted if
it is reasonable and does not interfere with our work. Network use
involving chain letters, offensive material or pornography is not
permitted. |
Avoid any association that could compromise your judgment or
create a conflict of interest.

assist you when faced with an ethical decision:

Accountability
Each of us is
responsible to live up to the standards set forth in this code of
ethics.
It is our
responsibility to raise questions if we are unsure of how to proceed
with an issue, or if we are concerned that the standards are not being
met.
Violations of the
code may be cause for corrective action, which may result in
disciplinary action up to, and including, discharge.

a concern that requires action, you have several options:

Discuss the issue with your supervisor or
manager.

Call or meet with an Ethics Committee
representative. The list of current representatives is listed in
your Operations Manual.
